We care about transparency. These Terms outline the rules, responsibilities, and conditions that apply when you use Scalient’s platform and services.

1. Introduction

Welcome to Scalient (“Scalient,” “we,” “our,” “us”).

Scalient provides AI-powered business automation services, including but not limited to:

  • AI Receptionist and call handling systems

  • Lead generation and workflow automation

  • Invoicing and operational automations

  • Integrations with third-party platforms

By accessing our website, purchasing our services, or engaging Scalient in any capacity, you agree to these Terms & Conditions (“Terms”).

If you do not agree, do not use our services.

These Terms form a legally binding agreement between you (“Client,” “you”) and Scalient.

2. Services Provided

Scalient delivers automation systems designed to improve business operations.

Services may include:

  • Setup, configuration, and deployment of AI workflows

  • Ongoing monitoring and optimization

  • Integrations with tools such as Twilio, Google Calendar, CRM systems, Stripe, Xero, etc.

Scalient does not guarantee specific financial outcomes, revenue increases, or lead volume. Results depend on your business, responsiveness, market, and implementation.

3. Client Responsibilities

To deliver services properly, you agree to:

  • Provide accurate business information and access to required tools/accounts

  • Respond promptly to setup questions and approvals

  • Use the systems lawfully and ethically

  • Maintain any necessary licenses, compliance, or customer consent requirements

You are fully responsible for how automation systems are used in your business.

4. Account Access & Security

If Scalient provides you access to dashboards, portals, or automation tools:

  • You are responsible for maintaining the security of your login credentials

  • You may not share access without permission

  • You must notify us immediately if unauthorized access occurs

5. Subscription, Fees & Payments

Scalient services are typically billed as:

  • Monthly recurring retainers

  • Setup fees (where applicable)

  • Usage-based charges (minutes, API usage, etc.)

Billing Terms

  • Fees are billed in advance unless otherwise agreed

  • Payments are non-refundable once a billing period begins

  • Cancelling stops future billing but does not refund current periods

  • Late payments may result in service suspension

Payments are processed securely through third-party providers (e.g., Stripe).

6. Setup Fees & Implementation Work

Setup fees cover:

  • Initial configuration

  • System deployment

  • Custom workflows and integrations

  • Onboarding and testing

Setup work is non-refundable once started, due to labor and technical build costs.

7. Usage Limits & Additional Charges

Some plans include limits such as:

  • Call minutes

  • AI processing usage

  • Automation runs

  • Support scope

If you exceed your plan limits, additional charges may apply, and you will be notified where possible.


  1. Third-Party Services & Integrations

Scalient systems may rely on third-party platforms including but not limited to:

  • Twilio / Telnyx

  • Vapi / AI voice providers

  • Google Workspace

  • CRM tools

  • Payment processors

  • Hosting providers

Scalient is not responsible for:

  • Third-party outages

  • Pricing changes

  • Account suspensions

  • Data handling policies of external platforms

You agree to comply with all third-party terms.

9. Data Ownership & Privacy

You retain ownership of all business data you provide.

By using Scalient, you grant us a limited license to:

  • Store and process your data

  • Operate automations on your behalf

  • Maintain backups for service continuity

We do not sell client data.

Data handling is subject to our Privacy Policy.

10. Acceptable Use

You agree not to use Scalient systems for:

  • Illegal activity

  • Fraud or deception

  • Harassment or abuse

  • Spam or unsolicited outreach in violation of law

  • Attempting unauthorized access to systems

We may suspend service immediately for misuse.

11. Service Availability

We aim for high uptime, but you acknowledge that downtime may occur due to:

  • Maintenance

  • Platform outages

  • AI provider disruptions

  • Unexpected technical issues

Scalient is not liable for losses caused by temporary interruptions.

12. Disclaimer of Warranties

Scalient services are provided “as is” and “as available.”

We do not guarantee:

  • Error-free operation

  • Uninterrupted service

  • Perfect AI responses

  • Specific business outcomes

AI systems may occasionally produce incorrect, incomplete, or unexpected outputs.

You accept this risk.

13. Limitation of Liability

To the maximum extent permitted by law, Scalient is not liable for:

  • Lost revenue or profits

  • Missed leads or bookings

  • Customer dissatisfaction

  • Data loss

  • Indirect or consequential damages

Scalient’s total liability will not exceed the total amount paid by you in the last 3 months.

14. Termination

You may cancel services at any time with written notice.

Scalient may suspend or terminate services if:

  • You breach these Terms

  • Payments are overdue

  • Systems are misused

  • Legal/compliance risks arise

Upon termination, access may be removed and workflows disabled.

15. Modifications to Terms

We may update these Terms occasionally.

If changes are significant, we will notify you via email or website notice.

Continued use of Scalient means acceptance of updated Terms.

16. Governing Law

These Terms are governed by the laws of New Zealand.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Christchurch, New Zealand.
